Pro Unlimited, an integrated workforce management platform that includes an MSP and VMS, is acquiring Geometric Results Inc., an MSP provider based in Southfield, Michigan.

GRI has more than 150 global clients with more than $4 billion in spend under management, and it has a presence in the US, UK and India. The combined company will have more than $22 billion in spend under management.

“Our No. 1 priority is providing organizations with the most innovative and client-centric solutions to accelerate how they acquire, manage and optimize talent,” Pro Unlimited CEO Kevin Akeroyd said. “GRI shares this same strategic approach for its customers. Combining two leading contingent workforce management companies allows us to reimagine and transform the future of work.”

GRI’s services also include statement-of-work optimization, managed direct sourcing and its Envision analytics platform. The company is currently owned by MSX International, itself a portfolio company of funds managed by Bain Capital Private Equity Europe. GRI is led by CEO Mike Wachholz.

“This is a noteworthy transaction in a rapidly maturing MSP industry where market differentiation is difficult,” said Matt Norton, global workforce solutions research manager at Staffing Industry Analysts.

“As enterprises continue to take a more strategic approach in managing the contingent workforce, providers are increasingly looking to build, partner with or acquire solutions to grow product capability and expand internationally,” Norton said. “Companies such as Pro Unlimited are developing a technology ecosystem that enables the entire workflow and can integrate effectively across an organization to manage their contingent workforce.”

Pro Unlimited and GRI reported no customer or solution overlap. The deal will expand Pro Unlimited’s presence in the healthcare, automotive and retail verticals.

“Pro is set to be a great home for the future of our employees and our customers, who will now benefit from a broad portfolio of services via the comprehensive PRO platform,” said Fred Minturn, chairman of MSX International.

Plans call for retaining the GRI brand for now and both businesses will decide together on an overall branding over the longer term. The companies are in the process of obtaining anti-trust approvals for the deal and the company cannot discuss any GRI employees at this time.

The deal is subject to customary conditions and approvals.

Pro Unlimited, established in 1991, is based in Burlingame, California. The acquisition follows several made in 2021, including Workforce Logiq, a provider of VMS, MSP, RPO and direct sourcing based in Orlando, Florida, in August. It acquired direct-sourcing firm WillHire in September, Dutch MSP Brainnet in February and contingent worker bill-rate data provider PeopleTicker in January.
